PwC and Corporate Board Member magazine have released their eighth survey measuring the opinions of more than 1000 directors serving on the boards of the top 2,000 publicly traded companies (by revenue). The survey covers issues such as the economic crisis and expectations on regulatory changes due to the crisis, the current risk environment, executive compensation, and board effectiveness.

Doing a deal? How will you compensate employees of the target? The new M&A Standards may impact your decision. Determining whether employee arrangements represent compensation for service prior to and/or after the acquisition will have a direct impact on the amount included as purchase price versus the amount expensed in the future. The Emergency Economic Stabilization Act of 2008 was passed by Congress on October 3, 2008 and signed into law immediately thereafter by President Bush. The Act authorizes the Treasury Department to purchase troubled assets of financial institutions (including pension plans) and temporarily increases the bank deposit insurance limit. In addition, the Act includes the extension of certain expiring tax provisions, energy tax incentives, disaster relief, AMT relief and mental health parity requirements for group health plans. It contains several limitations on executive compensation paid by financial institutions that participate in the mortgage stabilization program as well as new restrictions on nonqualified deferred compensation arrangements sponsored by certain foreign entities.
DataLine 2008-16: Certain Share-Based Payment Awards with Rights to Dividends May Be Considered Participating Securities

Under a recently issued FASB Staff Position (FSP), certain share-based payment awards that entitle holders to receive nonforfeitable dividends before they vest will now be treated as participating securities in EPS calculations. The new guidance ushers in a significant change in current practice that will likely reduce both basic and diluted EPS for companies with such awards. This PwC DataLine discusses key provisions of the FSP and shares PwC's insights on how a company's stock-based compensation plans will affect the calculation of EPS under the new requirement. The FSP will be effective for calendar year-end companies in 2009.
